What is a ready-made company?
A ready-made company — also called a shelf company — is a limited liability company (s.r.o.) that has been founded and entered in the Commercial Register for the purpose of being sold. It has its company ID number (IČO) and registered capital, but no business history, no contracts and no debts. Buying one is a legal and common way to obtain a Czech company quickly.
When a ready-made company makes sense
- You need a Czech company for a contract, tender or lease with a tight deadline.
- You want to open a bank account or sign contracts as soon as possible.
- You prefer to skip the incorporation process and take over an existing, clean entity.
If time is not critical, a newly formed company lets you choose every detail from the start.
New company vs. ready-made company
| New s.r.o. | Ready-made s.r.o. | |
|---|---|---|
| Company ID (IČO) | After registration | Already exists |
| Start of business | After incorporation is completed | As soon as the transfer is signed |
| Name and activities | Chosen from the start | Can be changed after transfer |
| Date of incorporation | New | Earlier (the company already exists) |
| History | None | None — never traded |
How the transfer works
- Choose a company. We confirm what is currently available and send you the scope and fee in writing.
- Check the documents. Register extract, articles, financial statements and confirmations that the company has no debts or tax arrears.
- Share transfer agreement. Signed with officially verified signatures — remotely, via power of attorney if you prefer.
- Shareholder decision. You appoint your director and, if you wish, change the registered office, name or business activities.
- Register updates. We update the Commercial Register, the register of beneficial owners and notify the tax office.
What to check before buying any ready-made company
A genuine shelf company should have a clean history. Before signing, make sure that:
- the company has never traded and has no liabilities, contracts or employees;
- its financial statements are filed and it has no tax or social-security arrears;
- the share capital has been paid in;
- the seller gives written warranties about the points above.
